   OPEN COUNTRY, INC.
   END-USER LICENSE AGREEMENT
   IMPORTANT - READ CAREFULLY:

   This Open Country End-User License Agreement ("EULA") is a legal agreement
   between you (either a single entity or an individual) and Open Country, Inc.
   ("Open Country"), for OC-Manager(tm), OC-Agent(tm), OC-Host(tm),
   OC-Admin(tm) and all other Open Country products, which includes computer
   software in source and binary form, scripts and other human and machine
   readable instructions, graphics, media, printed materials and on-line
   documentation ("SOFTWARE" or "SOFTWARE PRODUCT"). This agreement
   specifically excludes computer software in source and binary form licensed
   under the terms of the GNU General Public License. By downloading, copying,
   installing or otherwise using the SOFTWARE PRODUCT, you agree to be bound by
   the terms of this EULA. If you do not agree to the terms of this EULA, do
   not download or install the SOFTWARE or promptly return SOFTWARE PRODUCT to
   the place from which you obtained it for a full refund.

   1. LICENSE GRANT. Subject to the terms set forth in this EULA, you may use
   the enclosed SOFTWARE PRODUCT solely for internal business or personal use
   in the country in which the SOFTWARE PRODUCT was furnished to you.  The
   SOFTWARE PRODUCT is licensed on a per-computer basis, meaning that a
   separate copy of SOFTWARE PRODUCT must be purchased for each computer system
   using this SOFTWARE PRODUCT. The only right granted to you under this
   Agreement is a non-transferable right to use SOFTWARE and to make and use
   one backup copy of SOFTWARE for archival purposes only. No license, right,
   or interest in any trademark, trade name, or service mark of Open Country or
   any third party from whom it has acquired license rights is granted you
   under this EULA. No part of the documentation may be reproduced or
   transmitted in any form or by any means, electronic or mechanical, including
   photocopying and recording, for any purpose without the written permission
   of Open Country. The SOFTWARE PRODUCT is and shall remain at all times the
   property of Open Country or of the third party from whom Open Country has
   acquired license rights and you shall have no right, title or interest
   therein except as expressly set forth in this Agreement. You may not reverse
   engineer, modify, copy, distribute or otherwise transfer the SOFTWARE
   PRODUCT or divulge methods and techniques illustrated in SOFTWARE PRODUCT to
   third parties. Use, duplication, or disclosure by the Government is subject
   to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in
   Technical Data and Computer Software clause at DFARS 252.227-7013 or
   subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted
   Rights at 48 CFR 52.227-19, as applicable.

   2. AUDIT RIGHTS. OPEN COUNTRY may audit your facilities to verify that you
   have complied with the terms of this Agreement. OPEN COUNTRY agrees to
   conduct an audit at any site no more than once each year, and to provide you
   at least three days advance notice of an audit.

   3. LIMITATION OF LIABILITY AND WARRANTIES. OPEN COUNTRY warrants that it has
   the right to license the SOFTWARE PRODUCT to you. OPEN COUNTRY MAKES NO
   OTHER REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SOFTWARE PRODUCT,
   EXPRESS OR IMPLIED, IN FACT OR IN LAW, INCLUDING THE IMPLIED WARRANTIES OF
   MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF
   THIRD PARTY RIGHTS. THE TOTAL LIABILITY, IF ANY, OF OPEN COUNTRY SHALL NOT
   EXCEED THE AMOUNT OF MONIES PAID BY YOU TO OPEN COUNTRY IN THE MOST RECENT
   TWELVE MONTH PERIOD. IN NO EVENT WILL OPEN COUNTRY BE LIABLE FOR LOSS OF
   PROFITS, OR INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR FOR
   LOSS OR INACCURACY OF DATA.

   4. TERMINATION. This EULA will automatically terminate upon breach of any
   term of this Agreement by you. Upon termination, your license to use
   SOFTWARE PRODUCT will immediately terminate and you shall certify that you
   have returned all original materials and destroyed all backup or production
   copies of the SOFTWARE PRODUCT and related documentation.

   5. GENERAL. This EULA is between the parties with respect to the subject
   matter hereof and shall be construed in accordance with the laws of the
   State of California. The prevailing party in any legal proceeding brought by
   one party against the other party and arising out of or in connection with
   this Agreement, shall be entitled to recover its legal expenses, including
   reasonable attorneys' fees, court costs and expert witness fees.
